1. Acceptance of Terms
By accessing or using GauchoGrid products, browser extensions, websites, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.
You must be at least sixteen (16) years old, or the minimum age of digital consent in your country of residence (whichever is higher), to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
GauchoGrid provides software tools designed for data processing, productivity, and web utilities.
2.1 Local Processing
All GauchoGrid products are designed to process data locally on your device. We do not host, store, or have access to the data you process using our tools.
2.2 Service Tiers
We may offer "Free" versions (basic functionality) and "PRO" versions (advanced features/unlimited usage) of our products.
3. User Licenses
3.1 Free License
We grant you a limited, non-exclusive, non-transferable license to use the Free version of our products for personal or professional use.
3.2 PRO License
Use of PRO features requires a valid license key. You agree to use the license only on the number of devices permitted at the time of purchase and to not redistribute or resell your license key.
Your license key is personal and non-transferable. You may not share, publish, sublicense, or make your license key available to any third party. GauchoGrid reserves the right to deactivate license keys that show patterns of abuse, including but not limited to activation on a number of devices exceeding your license entitlement.
3.3 License Types
We offer monthly and annual subscription plans. Subscriptions grant access to all PRO features and updates for as long as your subscription remains active. You may cancel at any time, and your access will continue until the end of your current billing period.
4. Acceptable Use & Responsibility
You are solely responsible for your conduct while using our Service. You agree not to:
- Use the Service for any illegal purpose or in violation of any local, state, national, or international law or regulation
- Use our tools to access, extract, or export data in violation of a third-party website's or platform's terms of service
- Use the Service to collect, process, or export personal data in violation of applicable data protection laws, including but not limited to the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and equivalent regional regulations
- Use the Service primarily for the purpose of building databases, datasets, or data products for commercial resale or redistribution to third parties
- Attempt to reverse engineer, decompile, or bypass any license validation systems
GauchoGrid provides the tool, but you provide the intent. You are solely responsible for:
- Ensuring you have the legal right to access, process, and export any data you interact with using our Products
- Complying with all applicable terms of service of the websites and platforms you access
- Determining and fulfilling your obligations as a data controller under applicable data protection laws for any personal data you extract
GauchoGrid does not monitor, review, or control how you use the data you export. Any consequences arising from your use of exported data are your sole responsibility.
4.1 Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless GauchoGrid and any individuals or entities acting on its behalf from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- (a) Your violation of these Terms;
- (b) Your violation of any applicable law or regulation in connection with your use of the Service;
- (c) Your violation of any rights of any third party, including intellectual property rights, privacy rights, or terms of service of third-party platforms, in connection with your use of the Service;
- (d) Any data you extract, process, or export using the Service, including any claim that such data was collected, used, or disclosed in violation of applicable data protection laws.
This indemnification obligation does not apply to the extent that a claim arises from GauchoGrid's own negligence or willful misconduct. This obligation shall survive the termination of these Terms and your use of the Service.
5. Payments, Cancellations, and Refunds
5.1 Merchant of Record
Our order process is conducted by our online reseller, LemonSqueezy. LemonSqueezy is the Merchant of Record for all our orders. They handle customer service inquiries and returns related to the payment process.
5.2 Refund Policy
We offer a 14-day money-back guarantee for all PRO purchases.
- Process: To request a refund, you must submit a request via our official Support Form within 14 days of your purchase. Please select "Refund Request" as the subject and include your order number or the email address used for the purchase.
- Execution: Refunds are processed via LemonSqueezy, our merchant of record. Once we approve the request, it typically takes 5–10 business days for the funds to appear in your account.
- Effect: Upon the issuance of a refund, your PRO license key will be automatically deactivated and your access to premium features will be revoked.
- Eligibility: No refunds will be issued for requests made after the 14-day window has expired.
5.3 Cancellations
Subscriptions can be canceled at any time. You will retain PRO access until the end of your current billing cycle.
6. Intellectual Property
6.1 Our Content
The software, code, logos, and website content are the exclusive property of GauchoGrid.
6.2 Your Content
GauchoGrid claims zero ownership over the data you process, extract, or create using our tools. Since processing is local, your data remains yours and stays on your device.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS." GAUCHOGRID DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAUCHOGRID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES) ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, GAUCHOGRID SHALL NOT BE LIABLE FOR ANY CLAIMS, DAMAGES, OR ACTIONS BROUGHT BY THIRD PARTIES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO CLAIMS RELATED TO DATA EXTRACTION, DATA PROCESSING, OR ALLEGED VIOLATIONS OF THIRD-PARTY TERMS OF SERVICE.
IN NO EVENT SHALL GAUCHOGRID'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO GAUCHOGRID IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY US DOLLARS (USD $50), WHICHEVER IS GREATER.
NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.
9. Modifications to the Service and Terms
We reserve the right to modify, update, or discontinue any product, feature, extraction method, or processing capability at any time, with or without prior notice, for any reason including but not limited to legal, technical, security, or policy considerations. Such modifications shall not constitute a breach of license or entitle you to a refund for the current billing period.
We may update these Terms at any time. The "Last updated" date at the top of this page reflects the most recent revision. We will make reasonable efforts to notify users of material changes through our website or within the Products. Continued use of the Service after any update constitutes your acceptance of the revised Terms.
9.1 Force Majeure
GauchoGrid shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond GauchoGrid's reasonable control, including but not limited to: natural disasters, pandemic, government actions, changes in applicable law or regulation, actions by distribution platforms or app stores (including suspension, removal, or modification requirements), internet or infrastructure failures, or third-party service outages.
10. Governing Law & Dispute Resolution
Governing law. These Terms shall be governed by and construed in accordance with the law applicable to GauchoGrid's place of operation. If you are a consumer, nothing in these Terms shall affect your mandatory statutory rights under the consumer protection laws of your country of residence, which shall continue to apply notwithstanding any provision herein.
Informal resolution. Before initiating any formal legal proceeding, both parties agree to attempt to resolve any dispute informally by contacting the other party. You may reach GauchoGrid through our support page at gauchogrid.com/support. The parties shall make good-faith efforts to resolve the dispute within thirty (30) days of the initial contact.
Equitable relief. Notwithstanding the foregoing, nothing in this section limits GauchoGrid's right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to address unauthorized use of its Products.
Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and GauchoGrid regarding the Service and supersede any prior agreements. No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision.
